COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF COMPANY, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. 17. Termination We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms. If you wish to terminate your account, you may simply discontinue using Service. All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. 18. Governing Law These Terms shall be governed and construed in accordance with the laws of United Kingdom, which governing law applies to agreement without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. TERMS OF PAYMENT • Unless otherwise stated in writing, payment for the goods shall be made within 30 days of the date upon which the good are invoiced. • PWM Agencies may at any time require the Purchaser to make payment in advance of delivery. • Should the purchaser fail to make payment by the due date, then PWM Agencies reserves the right without prejudice to any other remedy which it may have, to cancel this contract and/or any other contract between the Purchaser and PWM Agencies and/or suspend delivery until payment has been made. • PWM Agencies reserves the right to charge interest on overdue accounts at the rate of 2% per month (apportionable by the day) on all overdue accounts. QUOTATIONS Quotations shall not be bound by any oral quotation given, unless confirmed by email. Goods will be invoiced at the pricing rule at the date of dispatch and a carriage may be added for small orders under £300.00. PWM Agencies reserves the right to vary prices without notice. Discounts do not apply unless arranged in writing from PWM Agencies. FLOORING Before commencing installation, please check that material delivered complies with what has been ordered and conform to all manufacturers installation policies Claims will be entertained only for material that has not been installed or cut, with prior notice in writing from PWM Agencies. Claims in respect of aesthetic defects, surface defects, shade match etc, will only be entertained based on judgement made from a standing position and manufacturers say so. Manufacturers warrantee must be adhered to, regarding installation and fitting instructions. DELIVERY/WARRANTIES No claim shall be maintainable by the Purchaser against PWM Agencies for loss or damage to the goods unless the delivery docket is appropriately endorsed with brief details of the loss and/or the nature of the damage, and a written claim is submitted to PWM Agencies within 7 days of the date of dispatch shown on the delivery docket. If the purchaser shall fail to give such notice the goods shall be deemed in all respects to be in accordance with the contract and the Purchaser shall be bound to accept and pay for the same accordingly. The Purchaser shall determine the suitability of the products for their intended use and shall not rely on any representations made by or on behalf of PWM Agencies. The Purchaser must satisfy themselves that the goods are fit for the purpose for which the Purchaser intends to use them save as herein stated all express or implied statutory or other warranties, representations, whether as to fitness or otherwise, relating to the goods supplied by PWM Agencies is hereby excluded. PWM Agencies shall not be liable to the Purchaser for any loss, damage, delay, injury or any consequential or special loss or damage sustained by the customer whatsoever, howsoever and whensoever caused arising directly or indirectly out of or in connection with the performance or non-performance of PWM Agencies obligation, including but without prejudice to the generality of the foregoing, loss or damage or delay caused by any faulty or unsatisfactory goods sold. Acceptance of goods will be treated as acceptance of PWM Agencies ownership. The risk of the goods will pass to the purchaser upon delivery of the goods to them or their carrier/ location nominated by the purchaser. Notwithstanding delivery and the passing risk to the purchaser, the goods shall remain in PWM Agencies possession until the purchaser has paid all the monies owed by them to PWM Agencies under this or any other contract, or otherwise by virtue of the fiduciary relationship between the purchaser and PWM Agencies the purchaser will hold the proceeds of sale in trust for PWM Agencies absolutely to pay out all monies due to PWM Agencies under this or any other contract. The purchaser agrees in the event of the goods being made into any product either alone or mixed with other materials and becoming a constituent of any such material or products, the purchaser herein declares that: The ownership of the product and or materials belong to PWM Agencies as security for the payment of all the monies due on foot this contract. By virtue of the fiduciary relationship between the purchaser and PWM Agencies, they hold the proceeds of sale of any such product or materials in trust for PWM Agencies absolutely to pay thereof all monies due. Until the property therein has passed, PWM Agencies shall be entitled upon demand to enter the premises of the purchaser and to recover possession supplied and the purchaser in accepting these conditions irrevocably grants a licence to PWM Agencies to enter the purchaser's premises for this purpose. CONTRACT The contract shall be governed and interpreted under UK Law. Please note the following conditions apply to all products purchased from PWM Agencies. CANCELLATIONS Cancellations cannot be accepted for cut length orders after goods have been cut or dispatched, or for contract special orders of non-stocked material. MATCHING For technical reasons it is not possible to colour match from different batches. Orders that need to colour match must be placed at the same time. Every effort will be made to supply orders from the same batch, but PWM Agencies cannot accept claims for shade variations once the material has been laid/installed. GOODS RETURNED Goods supplied in accordance with the contract cannot be returned without PWM Agencies prior written consent. We will only accept material back which is in a saleable condition and returned in full rolls or full boxes. Any goods accepted for return will be liable to a handling charge of up to 30% of their value with no exceptions. The customer will contact the Company for a returns number, before returning any goods and are subject to the following conditions: • They are returned within 7 days of purchase, in the unopened packaging, and are subject to a full inspection. • The goods value before any deductions must exceed a value £50.00 net of VAT. • All returned goods are subject to a handling charge with no exceptions. • The customer will return goods at their own cost, PWM Agencies may organize collection of the return with the cost of shipment being deducted from any credit given. Should the product be found to be faulty at time of supply, any cost of return shipment will be refunded. • All goods returned failing inspection not collected by the customer within 14 days may be disposed of by the Company with no liability. DELIVERIES Requests for deliveries to contract sites will be facilitated as much as possible with the co-operation of our carriers. Please ensure that there is assistance available for off-loading. Information on date of delivery is given in good faith. PWM Agencies cannot accept responsibility for delays in delivery however caused. DAMAGE IN TRANSIT If goods are damaged in transit the carriers note must be endorsed accordingly and PWM Agencies notified of the damage within 2 days. Failure to notify will invalidate any claim. CUT LENGHTS Special Orders requiring cut lengths will be invoiced at cut length price, depending on the manufacturer. When possible and when ordered with a full roll it may be possible to add this at the roll cost, in all other cases the cut will be charged at cut price length. LIABILITY Liability in all cases will be limited to the value of goods supplied. Claims for manufacturing faults will not be accepted after the goods have been installed or fitted. All floor coverings MUST be inspected at the time of collection/delivery to ensure it is correct before installation. PWM Agencies will not be responsible for shrinkage of material that has not been secured to the floor or is installed incorrectly. PWM Agencies liability for defective goods will be limited to replacement with equivalent value material or a credit note to the value of the defective material, no claims can be accepted for loss or damage either directly or indirectly to other trades or delays on site, suffered by the client or customer. FORCE MAJEURE 1, Any times or dates quoted for the manufacture or dispatch of goods are intended as an estimated date only, and PWM Agencies shall not be liable in any manner whatsoever for failure or delay in manufacture or delivery of goods caused. 2, PWM Agencies without prejudice under clause 1, has the rights to suspend or cancel quotes or orders without liability on PWM Agencies behalf, due to reasons out of PWM Agencies control such as: strikes, pandemics, fire, shortage in supply or abnormal price increases, or manufactures decision to reverse our contractual agreement. TOLERANCES This will be set by manufacture's own policies, but whereby BS5655 can be adhered to it will.
